Terms of Business

We are committed to working with you towards a successful outcome for you and to being as clear and as fair as possible in all of our dealings together.

  1. Our fees are based on the allocation of our time.
  2. All fees are exclusive of VAT @ 21.5% (or, outside of Ireland, any appropriate local taxes or government charges) and are payable on presentation of our invoice.
  3. We invoice 50% of each project fee on commission of the work and the remainder on completion of the project (or as otherwise agreed between us).  We invoice any ad hoc work on completion of that work.
  4. We charge any out-of-pocket expenses directly to your account and do not apply any commission / service charges. We will secure your agreement before incurring such expenses (over & above any reasonable travel & refreshment expenses relating to customer research).
  5. We charge a time-based management fee on any third-party work which we commission on your behalf (and with your agreement). We will agree that fee with you beforehand. We do not charge commission on such work, which is invoiced directly to you by the supplier.
  6. In the case of ad hoc work agreed with you, we issue an advice note (usually by email) for any work completed on your behalf at the end of the month or when the relevant fee exceeds €1,000, whichever is the sooner.
  7. Due to the nature of our project work, we are often unable to reallocate time at short notice of postponement or cancellation by you. Should we be unable to reallocate time for a scheduled project input, we will charge the fee for that time, and an additional fee for any rescheduled time as appropriate.
  8. We will not disclose the results of any project or any information obtained in confidence regarding your business without first obtaining your approval.
  9. Any confidential specifications provided by you to enable us to prepare proposals or a scope of work shall remain confidential to you. Similarly, any proposals or work that we prepare for you remain our property until you commission the work, and the contents shall not be revealed to any third party or otherwise used by you.
  10. Any research or development material previously developed by us and presented during the project (or at proposal stage) remains our property at all times, and your use of it is strictly limited to the commissioned project (unless otherwise agreed by us).
  11. We commit to acting in good faith at all times and offer any recommendations based on our professional experience. However, you will determine how to make best use of such recommendations and we cannot accept responsibility for any action taken by you that is based on our input into our work together.
